1. Acceptance of Terms

By requesting a booking, consulting session, or media engagement with David Otunga (Kenya), you agree to these Terms of Service.

2. Scope of Services

• Speaking (keynotes, panels, workshops)
• Directing/creative consulting and project reviews
• Media interviews and appearances
• Selective directing engagements via Moving Shot Productions

Details (dates, deliverables, fees) will be confirmed in writing prior to engagement.

3. Client Responsibilities

• Provide accurate event/project details (dates, venue, audience, technical specs)
• Secure necessary permissions and releases for recordings or broadcasts
• Provide agreed logistics (e.g., travel, accommodation, per diem) where applicable
• Pay invoices on time as per agreed schedule

4. Intellectual Property & Recording

• Materials created by David remain his property unless otherwise agreed.
• Recording or redistribution of talks requires prior written consent and agreed usage terms.
• Use of name/likeness in promotional materials must be pre-approved.

5. Fees, Deposits & Payments

• Quotes may include fees, taxes, and reimbursable expenses.
• Deposits may be required to confirm bookings; balances due per agreement.
• Late payments may incur interest or result in cancellation.

6. Changes, Cancellations & Force Majeure

Date changes and cancellations must be communicated promptly. Cancellation fees may apply based on notice period and costs incurred. Neither party is liable for delays caused by events beyond reasonable control.

7. Confidentiality

We keep non-public information confidential and may sign NDAs when necessary. Please mark sensitive items clearly and use secure channels for transmission.

8. Warranties & Liability

Services are provided with reasonable skill and care. To the extent permitted by Kenyan law, liability is limited to amounts paid for the specific engagement and excludes indirect or consequential loss.

9. Relationship to Moving Shot Productions

Studio-level production enquiries may be referred to Moving Shot Productions under its separate terms and agreements.

10. Governing Law

These Terms are governed by the laws of Kenya. Disputes will be handled by the competent courts in Kenya, without prejudice to any agreed alternative dispute resolution.
